Commercial Counsel

📋 Description

• Draft and negotiate customer SaaS agreements (MSAs, order forms, DPAs, SLAs).
• Manage end-to-end commercial negotiations for a high-volume SaaS business.
• Partner with Sales and Deal Desk as primary legal contact for mid-market/enterprise deals.
• Handle data privacy/security aspects; negotiate DPAs; review security questionnaires.
• Develop scalable contracting processes, templates, and playbooks (incl. AI tools).
• Provide training and guidance on common contract terms to sales reps.

🎯 Requirements

• U.S. JD with active bar in at least one jurisdiction.
• 3-5 years of legal experience; 2+ years in commercial/transactional work.
• Working knowledge of B2B SaaS agreements, MSAs, SaaS terms, DPAs, SLAs, DPA.
• Experience handling high-volume negotiations with attention to detail.
• Comfort with AI-powered contract tools and AI in contracts.
• Familiarity with GDPR, CCPA, and privacy frameworks in contracting.
