Legal Counsel, Commercial

📋 Description

• Serve as primary legal partner to the Go-To-Market team for EMEA-based deals, from structuring to execution
• Provide coverage for East Coast US deals, coordinating with the US legal team
• Draft, review, and negotiate SaaS agreements, enterprise customer agreements, professional services, NDAs, and partner & channel agreements
• Draft and maintain standard form agreements and online terms, including platform terms, ULA, and order forms
• Negotiate with sophisticated customer counsel across regulated industries
• Ensure commercial agreements align with open source licensing requirements and industry best practices

🎯 Requirements

• JD or equivalent with active bar or solicitor in good standing
• 5+ years of commercial legal experience, tech focus
• Strong experience drafting SaaS, subscription, and professional services agreements
• Ability to draft standard form agreements and online terms from scratch
• Experience negotiating with highly regulated customers
• Knowledge of open source licensing and GDPR/DORA data privacy
