Product Counsel, Meridian

📋 Description

• Own legal product counseling for Meridian across design, development, launch, scale, and ongoing
• Advise on broker-dealer obligations end-to-end, including FINRA rules, Regulation Best Interest and
• Analyze product and transaction structures under the Securities Act, Exchange Act, Regulation D
• Own legal analysis for resale and transfer mechanics, including ROFRs, consent rights, transfer
• Build and maintain Meridian’s foundational legal and disclosure framework, including vehicle
• Design scalable legal review, approval, and escalation processes that preserve product velocity

🎯 Requirements

• JD and active bar membership in good standing, with 6–10 years of relevant legal experience.
• Direct experience advising or working within a registered broker-dealer, ideally involving private
• Deep fluency in the Securities Act, Exchange Act, Regulation D, FINRA rules, broker-dealer
• Strong understanding of the Investment Company Act, Investment Advisers Act, and private-fund
• Product counseling experience in fintech, trading or marketplace infrastructure, venture capital
• Proven ability to own complex initiatives, operate in ambiguity, and translate legal analysis into
