📋 Description

• Own Backblaze’s public-company legal stack and governance program.
• Lead SEC reporting, corporate governance, and board support.
• Oversee equity, Section 16, and proxy cycle processes.
• Manage international entity maintenance and cross-border issues.
• Advise on M&A, corporate finance, and strategic transactions.
• Collaborate with Finance, Compliance, and external counsel.

🎯 Requirements

• J.D. and active U.S. bar in good standing.
• 10+ years in public-company securities and governance.
• Deep knowledge of federal securities laws and Nasdaq rules.
• Experience preparing SEC filings and annual proxy materials.
• Strong governance background and Board/committee support.
• Fluency or strong interest in AI applications for legal workflows.
