Assistant General Counsel (Corporate)

📋 Description

• Lead M&A transactions and equity financings as primary counsel.
• Design AI-led due diligence workflows to shorten deal cycles.
• Build governance infra scalable to Series D to IPO.
• Advise the CLO/CEO/VP Finance on corporate matters with minimal outside counsel.
• Bring high-frequency corporate work in-house with templates and playbooks.
• Own multi-entity global compliance with AI-assisted tracking.

🎯 Requirements

• 10+ years of corporate legal experience with lead-counsel on M&A/investments.
• Active US bar admission; JD from ABA-accredited law school.
• In-house experience at a high-growth tech company; BigLaw-only backgrounds not competitive.
• Proven AI fluency; use Claude/Gemini or equivalent; design AI-enabled processes.
• Able to run transactions independently with a strong closing bias.
• Strong drafting and negotiation across M&A, term sheets, and governance.
