Assistant General Counsel, M&A

📋 Description

• Location: Boston or NYC with hybrid schedule; onsite Tue-Fri, remote Mon.
• Provide elite transactional support for M&A, capital markets, and securities governance.
• Partner with CLO, Board, and Corporate Development on strategic transactions.
• Oversee external counsel and manage due diligence for M&A and capital markets.
• Draft and negotiate transaction documents (purchases, term sheets, NDAs).
• Advise on securities laws and corporate governance requirements.

🎯 Requirements

• J.D. from an accredited school; admission to a US State Bar.
• 5-7 years’ experience at a top-tier law firm; in-house a plus.
• Expertise in M&A, securities law, corporate governance.
• Experience managing complex M&A in tech or financial services preferred.
• Strong writing, negotiation, analytical and presentation skills.
