📋 Description

• Board Admin: Prepare board materials, minutes, records, and governance guidance.
• Entity Management: Oversee corporate structure, subsidiary governance, and compliance.
• M&A: Lead due diligence, negotiate documents, manage post‑acq integration.
• Corporate Transactions: Draft and negotiate complex agreements and financing docs.
• Public Company Readiness: Drive due diligence and coordinate with external counsel.
• Employment & Litigation: Lead internal employment function and oversee litigation.
• Securities & SOX: Build securities program, insider policies, and SOX controls.
• Leadership: Build and lead the corporate legal team and manage outside counsel.

🎯 Requirements

• JD degree with an active bar membership.
• 10+ years' experience, incl. national firm; mix of private and public co.
• Experience with securities laws, governance, M&A, SEC reporting, and SOX.
• Public company readiness or compliance management experience.
• Tech/SaaS industry experience preferred.
• Strong leadership, communication, and cross‑functional collaboration.
