Business & Commercial Law Paralegal

📋 Description

• Support attorneys with business formation, corporate governance, contracts, and commercial
• Prepare and organize formation documents for LLCs, corporations, partnerships, and other entities.
• Draft, review, and revise operating agreements, bylaws, corporate resolutions, and amendments.
• Manage commercial agreements including service, vendor, NDA, and licensing contracts.
• Coordinate due diligence, virtual data rooms, closing checklists, and transaction documentation.
• Conduct corporate, UCC, and legal research; assist with entity filings and compliance deadlines.

🎯 Requirements

• At least 5 years of paralegal or attorney experience.
• At least 2 years with a U.S. business/commercial law firm.
• Strong experience in U.S. business law and corporate governance.
• Hands-on contract drafting and transaction documentation experience.
• Familiarity with LLCs, corporations, partnerships, and governance documents.
• Proficiency with Microsoft Office 365 and legal management software.
