Commercial Contracts Counsel

📋 Description

• Review, draft, and negotiate MSAs, Order Forms, SOWs, NDAs, and DPAs
• Manage redlines on customer papers and standard templates to protect key terms
• Own contract lifecycle in Linksquares, incl. template drafting and Docusign
• Advise Sales and Customer Success on contract questions; escalate to senior Legal counsel
• Support third-party vendor and partner agreements (subcontractor, reseller, OEM)
• Ramp up availability during quarter-end pushes to absorb higher volume

🎯 Requirements

• JD or equivalent; 3–5 years in commercial contracts (in-house or law firm)
• SaaS/software licensing experience; MSAs, DPAs, and Order Forms
• Familiarity with data privacy concepts and DPAs
• Strong commercial instincts; know where to push vs. compromise
• Ability to work independently with a concurrent pipeline of matters
• Experience with a CLM platform and signature workflows
