Commercial Counsel

📋 Description

• Lead commercial transactions to closure in a pragmatic, timely way.
• Draft, review, and negotiate complex transaction agreements.
• Identify and mitigate issues/risks; explain risk to business.
• Provide risk assessment and legal advice on applicable laws.
• Coordinate across internal teams to resolve issues and ensure compliance.
• Manage escalations and advise on contract disputes for outcomes.

🎯 Requirements

• J.D. from an accredited law school.
• Active bar admission in at least one US jurisdiction.
• 3-5 years of complex commercial transactions in IT MSP.
• Experience across all phases of sales/outsource contracting.
• Experience contracting with state and local government clients.
• Excellent verbal and written communication skills.
