📋 Description

• Drafting, reviewing, and negotiating enterprise SaaS, software, and technology agreements including
• Managing the commercial contracting process to keep deals moving efficiently while protecting
• Partnering with Sales, Sales Operations, Finance, Security, and Procurement teams to drive
• Advising on the structure of customer arrangements to support sound legal and business decisions.
• Negotiating data processing agreements, security addenda, AI addenda, and privacy terms with
• Monitoring regulatory and legal developments, and advising on related legal matters arising from

🎯 Requirements

• 5+ years of relevant legal experience, preferably as in-house commercial contracts counsel in the
• A J.D. and active admission to practice law in at least one U.S. state, in good standing.
• Hands-on privacy experience in a SaaS context, including negotiating DPAs, and working knowledge of
• Demonstrated proficiency in leveraging AI tools (e.g., Claude, Gemini, ChatGPT, Harvey) to solve
• Experience negotiating with large enterprise or public sector customers.
