Commercial Counsel

📋 Description

• Serve as the primary legal partner for commercial contracting activities, with a focus on customer agreements, sales support, and procurement matters.
• Review, draft, and negotiate commercial agreements including NDAs, MSAs, Order Forms, DPAs, and vendor contracts.
• Partner closely with sales teams to accelerate deal execution while balancing business objectives with legal and regulatory requirements.
• Develop scalable sales enablement resources, contract playbooks, internal guidance, and processes that improve efficiency across commercial operations.
• Build and optimize contract workflows, standard operating procedures, and legal processes in collaboration with legal operations stakeholders.
• Support procurement activities by managing vendor agreements and helping business teams move quickly while maintaining appropriate risk management.

🎯 Requirements

• Juris Doctor (JD) from an accredited law school and bar eligibility.
• 6–8 years of legal experience, incl. 4+ years in-house at startups/scaleups.
• Strong experience negotiating commercial contracts, esp. customer/vendor deals.
• Experience with SaaS businesses, data protection, and enterprise negotiations.
• Proven ability to build processes in a lean legal environment.
• Strong commercial mindset balancing risk, priorities, and relationships.
