Corporate Counsel

📋 Description

• Prepare board and stockholder consents, resolutions, meeting materials, and maintain the corporate
• Assist in supporting equity management with Finance and People teams, including plan documents and
• Manage subsidiaries and entity matters, including formations, and officer and director appointments
• Support the legal workstreams for financings, secondary transactions, and M&A, including due
• Help scope and manage outside counsel
• Draft, review, and negotiate a high volume of commercial agreements, including strategic

🎯 Requirements

• JD and active bar membership in good standing in at least one U.S. jurisdiction
• 3–6 years of corporate experience at a law firm and/or in-house at a technology company
• Hands-on corporate governance work and exposure to venture financings, M&A diligence, and/or
• Meaningful experience drafting and negotiating commercial agreements, such as partnership
• Solid understanding of intellectual property, data protection, and privacy issues in software
• Strong issue-spotting instincts: review a document, find what matters, and explain why
