Corporate Counsel

📋 Description

• Draft, review, and negotiate complex commercial agreements (MSAs, DPAs, vendor contracts).
• Partner with sales, customer success, and finance to accelerate deal cycles.
• Advise on data protection and privacy in customer/vendor contracts to manage risk.
• Develop and maintain standard contract templates and negotiation playbooks.
• Coordinate with outside counsel on complex legal/regulatory issues and expenses.
• Support international expansion and corporate governance, including due diligence.

🎯 Requirements

• JD and admission to a state bar in good standing, with preference for New York Bar.
• 3+ years of experience, with preference for in-house tech/SaaS or tech-transactions practice.
• Strong experience drafting and negotiating complex SaaS agreements and supporting commercial teams.
• Experience in litigation or dispute management and resolving disputes.
• Independent, self-motivated operator in a fast-paced environment with a service mindset.
• Strong technical aptitude with GSuite, Microsoft products, and legal ops tools (e.g., Salesforce, Contract Lifecycle Management).
