Corporate Counsel

📋 Description

• Draft, review, and negotiate vendor and commercial agreements (tech licensing, SaaS, services).
• Advise business teams on contract risk, negotiation strategy, and escalation points.
• Manage contract lifecycle with CLM software; Ironclad experience a strong advantage.
• Support governance and entity management: draft resolutions, board minutes; maintain global records.
• Data privacy/compliance: DPDP Act 2023; cross-border transfers; GDPR where relevant.
• Employment/HR legal support: India matters; cross-jurisdiction HR/finance questions.

🎯 Requirements

• 6–8 years post-qualification experience; at least 3 years in-house corporate counsel; tech/services preferred.
• Experience across India, US, Australia; deep regulatory knowledge in these jurisdictions.
• Strong SaaS/tech licensing and commercial contracts background.
• Working knowledge of DPDP Act 2023 and data privacy compliance.
• Experience with corporate entity management and regulatory filings (MCA/ROC in India; equivalents).
• Employment law basics across India and at least one of the US or Australia.
• Contract lifecycle management software experience; Ironclad advantage.
• LLB or BA LLB from a recognized Indian university; Bar Council enrollment preferred; LLM or tech/IP/privacy qualification advantageous.
