Corporate Counsel, SEC

📋 Description

• Lead SEC reporting and regulatory compliance under Nasdaq standards
• Oversee SEC filings (10-K/10-Q/8-K), proxies, and related statements
• Manage SEC comment letter responses with Finance and auditors
• Monitor enforcement trends and update disclosure practices
• Improve disclosure controls and procedures for accuracy
• Coordinate Disclosure Committee materials and governance processes

🎯 Requirements

• J.D. from an accredited law school and active bar in the US
• 3+ years in securities law and corporate governance; multinational company exp preferred
• Deep knowledge of SEC reporting, Nasdaq standards, and governance best practices
• Experience supporting Boards of Directors and senior leadership
• Ability to collaborate across Finance, IR, HR, and executive leadership
• Strong communication skills translating legal requirements into business guidance
