Corporate Legal Counsel (Capital Markets)

📋 Description

• Provide practical and creative legal guidance for complex capital markets transactions, including
• Draft, review, negotiate, and manage transaction documents related to institutional loan sales
• Advise capital markets stakeholders on non-disclosure agreements, engagement letters, transaction
• Negotiate agreements with existing and prospective clients, including leverage provider agreements
• Provide ongoing legal interpretation of existing agreements and support communications with clients
• Track investor relationships and monitor contractual obligations, requirements, and key provisions

🎯 Requirements

• 4+ years of legal experience gained in a law firm and/or in-house environment, with progressively
• Experience in capital markets and structured finance, including familiarity with secured lending or
• Demonstrated experience leading transactional negotiations and managing complex legal workstreams.
• J.D. degree and active membership in good standing with a state bar.
• Strong understanding of transactional documentation, commercial contracts, and legal risk
• Excellent judgment, with the ability to balance legal considerations against practical business
