Lead public company reporting incl proxy, Section 16, Form S-8, AGM.
Advise on Nasdaq listing requirements; prepare filings/notices.
Advise on governance; prepare board materials, resolutions, records.
Review external communications for securities-law issues.
Advise on executive compensation and related disclosures; equity program support.
Oversee compliance program for Code of Conduct, insider trading, Reg FD.

🎯 Requirements

JD and NY bar membership or NY in-house attorney registration.
3+ years of public company experience.
M&A and corporate finance experience a plus.
Executive compensation experience a plus.
Strong Excel and Google Suite skills.
Experience with Diligent, Workiva, and Shareworks a plus.
