📋 Description

• Prepare, review, and file SEC reports (10-K/10-Q/8-K) and related forms.
• Lead end-to-end M&A diligence, structuring, and deal negotiation.
• Own governance, board materials, and committee processes.
• Oversee export controls, sanctions, anti-bribery, and compliance programs.
• Manage incident response: legal coordination, breach notifications, and disclosures.
• Lead and develop a high-performing corporate legal team and outside counsel.

🎯 Requirements

• J.D. from an accredited law school; active California Bar.
• 8+ years of combined law firm and in-house experience with public company exposure.
• Public-company securities experience: ’33 Act, ’34 Act, Section 16, Rule 10b5-1, governance.
• Led tech M&A transactions end-to-end, including diligence and deals.
• Experience building compliance programs: export controls, anti-bribery, channel compliance.
• Willingness to adopt AI tools and strong people-management.
