📋 Description

• Handle entity formation and setup for emerging companies.
• Oversee equity and debt financings; structure and negotiate.
• Draft and negotiate commercial contracts.
• Provide corporate governance and compliance counsel.
• Advise on employment law and equity compensation strategies.
• Manage capitalization tables and related docs; support M&A.

🎯 Requirements

• Juris Doctor (J.D.) degree with strong academics.
• New York Bar preferred or admitted elsewhere.
• 2–8 years at a law firm in ECVC or tech-company practice; in-house ok.
• Knowledge of blockchain tech preferred but not required.
• Strong project management, analytical, and both oral/written communication skills.
• Ability to work independently while remaining connected in a remote environment.
