Legal Counsel, Commercial

📋 Description

• Lead and develop Chainguard's US commercial legal team.
• Own health, velocity, and resourcing of US commercial legal function.
• Hands-on negotiator managing complex enterprise deals from negotiation to close.
• Draft and negotiate SaaS, enterprise deals, MSAs, DPAs, and NDAs.
• Build US playbooks, templates, and self-serve resources.
• Ensure open source licensing compliance and privacy/data security readiness.

🎯 Requirements

• JD or equivalent with active bar in good standing.
• 10+ years of commercial legal experience; in-house tech preferred.
• Currently in-house sell-side role; not procurement/vendor management.
• Experience leading a team of at least two legal professionals.
• Proven ability to manage full deal cycles, including complex enterprise transactions.
• Strong communication; open source licensing and data privacy knowledge.
