Legal Counsel (Fractional)

📋 Description

• Advise on nonprofit law, charitable activity boundaries, governance, and legal requirements for US
• Draft, review, and negotiate contractor agreements, service agreements, grant agreements, and other
• Support compliant employment practices across multiple jurisdictions, including visa sponsorship
• Structure and negotiate agreements with funders, grant recipients, and sponsored projects
• Assess and advise on FARA exposure, GDPR obligations, and emerging AI regulations.
• Guide projects through transition to independent nonprofit status, including entity formation

🎯 Requirements

• Authorized to practice law in the jurisdiction where you intend to work, with US bar admission
• At least five years of legal practice experience, particularly in nonprofit law, commercial
• Strong understanding of US nonprofit structures, 501(c)(3) requirements, fiscal sponsorship, and
• Demonstrated ability to draft, review, and negotiate complex agreements.
• Familiarity with multi-jurisdiction employment practices, immigration compliance, data protection
• Ability to assess risk proportionately and balance legal compliance with operational realities.
