Legal Counsel – Securities, Corporate Governance & Capital Markets (Hybrid - in HQ Offices)

📋 Description

• Provide strategic legal counsel on securities and corporate governance for O-I.
• Advise on SEC reporting, public company obligations, and disclosures.
• Support capital markets transactions and bank credit agreements.
• Ensure public disclosures meet SEC and regulatory requirements.
• Collaborate cross-functionally with finance, investor relations, treasury, and more.

🎯 Requirements

• Juris Doctor (JD) from ABA-accredited law school.
• Active bar membership in at least one US state.
• 3–8 years of securities, governance, and capital markets experience.
• Experience drafting/reviewing SEC filings and public disclosures.
• Proficient in corporate drafting: resolutions, consents, minutes, charters, bylaws.
• Experience with board portals (Diligent, BoardVantage) and EDGAR.
