Senior Commercial Counsel

📋 Description

• Lead customer negotiations and deal management for large software, services and SaaS transactions
• Partner with sales leadership to align requirements, manage deals and meet timelines.
• Provide counsel aligned with Delinea’s strategy while managing compliance and risk.
• Support M&A integration and other commercial transactions.
• Collaborate with cross-functional teams on financial/operational considerations.
• Advise on cybersecurity, privacy, regulatory and compliance matters.

🎯 Requirements

• JD from an accredited law school; admitted to at least one US state bar.
• 15+ years in tech business/transactions law; 10+ years negotiating large SaaS/software deals
• Experience with software licensing, SaaS terms, enterprise terms, and related models.
• Knowledge of cross-border transactions, data privacy/security, IP rights, and commercial remedies.
• Strong analytical, strategic thinking and communication skills; able to work independently.
• Proficiency with Microsoft Office 365; experience with cloud-based CLM platforms.
