Senior Corporate Counsel

📋 Description

• Advise on corporate governance and securities; board prep and bylaws.
• Counsel Total Rewards and Finance on equity matters; administer equity programs.
• Monitor AI regulatory developments; EU AI Act and US state frameworks.
• Build and maintain scalable corporate compliance program; policies, playbooks, training.
• Support M&A, partnerships; due diligence, negotiations, post-close integration.
• Partner with Legal and cross-functional teams; own complex workstreams with minimal oversight.

🎯 Requirements

• JD from an accredited US law school; active bar membership.
• 6+ years legal experience; ideally top firms and in-house at tech/SaaS.
• Strong corporate generalist foundation; governance, securities, and M&A.
• Experience advising on equity compensation; HR/Total Rewards collaboration.
• Familiarity with AI governance frameworks and AI regulation.
• Strategic, pragmatic guidance; independent; manages multiple workstreams; AI tools.
