Senior Corporate Counsel, Commercial Transaction

📋 Description

• Draft, review, and negotiate SaaS commercial agreements, incl. ML/Gen AI features
• Develop contract templates, playbooks, and automation across the contract lifecycle
• Partner with GTM sales, services, and channel teams on customer deals
• Communicate complex matters clearly and solve problems practically
• Liaise with cross-functional units on terms impacting business
• In-office 2 days/week in San Francisco

🎯 Requirements

• Juris Doctor; admitted to California or other State Bar in good standing
• 9+ years in tech transactions across multiple lines and jurisdictions; SaaS/AI
• Experience drafting, reviewing, negotiating SaaS sales, reseller, licensing, SOW
• Cross-functional collaboration; communicate risks; draft approvals
• Highly responsive with service attitude; balance risk and revenue
• Preferred: Global sales, public sector contracting, EU AI Act, NIST RMF, CLM, gen AI tools
