Senior Corporate Counsel - Corporate

📋 Description

• Assist with the preparation and review of periodic reports, current reports and proxy statements
• Support all aspects of corporate governance, including maintaining the governance calendar
• Support insider trading law compliance, Section 16 reporting and 10b5-1 plan administration.
• Assist with equity plan administration and compliance with equity award plans (US and
• Maintain and ensure compliance with corporate policies, including the Related Party Transactions
• Assist generally with public company securities laws compliance, including the 1933 Act, 1934 Act

🎯 Requirements

• 4+ years of public company legal experience, ideally at a law firm and in-house.
• Experience with public company reporting including the preparation of periodic reports, proxy
• Experience maintaining a governance calendar for a public company board and its committees.
• Ability to understand and clearly explain complicated and nuanced issues.
• Highly responsive, with excellent organizational skills and attention to detail.
• Eager to jump in, take ownership and deliver excellent legal support in an extremely fast-paced
