📋 Description

• Lead and support complex domestic and international corporate transactions, including mergers and
• Draft, review, negotiate, and manage a broad range of transactional documents, including purchase
• Manage the full M&A lifecycle, including deal evaluation, transaction structuring
• Advise on corporate governance matters, including board and shareholder resolutions, meeting
• Oversee annual and periodic corporate filings across all 50 U.S. states where applicable, as well
• Provide day-to-day legal support for manufacturing operations, including commercial contracts

🎯 Requirements

• Juris Doctor (JD) from an accredited law school and an undergraduate degree.
• Active license to practice law and good standing with the bar in the state where the candidate
• At least 12 years of relevant legal experience in a law firm and/or in-house legal department, with
• Demonstrated success managing complex domestic and cross-border transactions, including
• Extensive experience drafting and negotiating sophisticated corporate and commercial agreements
• Deep knowledge of Delaware General Corporation Law and applicable Canadian federal and provincial
