Senior Counsel

📋 Description

• Draft, review, and negotiate commercial agreements (health plans, data, MSAs, BAAs, NDAs, licenses).
• Advise product/engineering on legal aspects of AI/ML features and FDA-cleared devices.
• Draft product-facing materials (terms of service, user agreements, disclosures).
• Review and manage vendor/supplier agreements (SaaS, professional services) and risk processes.
• Support compliance on HIPAA, FDA, FTC, CMS, and HHS OIG in product and commercial work.

🎯 Requirements

• 5+ years in transactional and product counseling; law firm exp required; healthcare in-house preferred.
• Experience advising on product/tech matters: data privacy, AI/ML, IP, FDA-regulated products.
• Track record drafting/negotiating commercial agreements of varying complexity.
• Experience negotiating SaaS, technology, and vendor procurement agreements.
• Familiarity with HIPAA, FDA, FTC, CMS to identify compliance issues.
• JD from an accredited US law school; licensed and in good standing.
• Excellent written/oral communication; strong judgment; highly organized; team player; growth-minded.
