Senior Counsel (Commercial Contracts & Partnerships)

📋 Description

• Draft, review, negotiate, and manage commercial agreements (MSAs, SOWs, etc.).
• Advise stakeholders on contract structure, risk, approvals.
• Maintain templates, clause libraries, and approval workflows.
• Review indemnification, liability, IP, privacy, data rights, audits.
• Support high-volume contracting; escalate material issues.
• Partner with Commercial, Payor, Marketing, Finance, Clinical, Product, Ops.

🎯 Requirements

• J.D. from an accredited law school; active U.S. bar (California preferred).
• 8+ years drafting and negotiating commercial agreements.
• Healthcare law experience advising providers, digital health, or payors.
• Experience in law firms and/or in-house legal.
• 3+ years across payor, partnerships, vendor, SaaS, marketing, DPAs/BAAs.
• Proficiency with legal tech and AI tools.
