Senior Counsel, Securities

📋 Description

• Lead the preparation, review and filing of SEC reports and disclosures, including Forms 10-Ks, 10-Qs, 8-Ks, Registration Statements, and other security filings.
• Assist in the preparation of proxy statements and coordinate stockholders meetings.
• Advise on insider trading policies, pre-clearance procedures, trading windows and Rule 10b5-1 plans.
• Review Section 16 filings (Form 3, 4, and 5 filings).
• Provide legal support to Investor Relations, Communications, and Marketing on external communications, ensuring Regulation FD compliance.
• Monitor developments and best practices regarding securities laws and deliver training to employees on relevant topics.

🎯 Requirements

• Juris Doctor (J.D.) degree from an accredited law school
• Active bar membership in at least one US state; eligibility to obtain in-house counsel status
• 5-8+ years of securities law experience at a nationally/internationally recognized law firm or US public company
• Strong knowledge of the Securities Act of 1933, the Securities Exchange Act of 1934, related SEC rules and Nasdaq listing rules
• Excellent written and verbal communication skills
• Highly organized, detail-oriented, able to manage multiple projects under tight deadlines
