Senior Director, Corporate Counsel

📋 Description

• Lead the legal workstreams for mergers and acquisitions, including due diligence, negotiations
• Advise on legal considerations and regulatory requirements related to international operations and
• Oversee corporate entities, corporate records, and related governance processes, including the
• Provide guidance on corporate governance matters, including developing and implementing corporate
• Support Finance on a variety of matters, including insurance renewals, tax planning, financial
• Review marketing materials and advise on applicable compliance requirements.

🎯 Requirements

• Juris Doctor with active bar membership in Canada or the United States and at least 10 years of
• Experience leading or supporting mergers and acquisitions, including due diligence, negotiations
• Strong knowledge of corporate governance, securities laws, entity management and experience
• Experience advising on international expansion, including subsidiary formation and regulatory
• Experience supporting financing transactions and related securities law compliance.
