Senior Director, Corporate Counsel

📋 Description

• Lead legal workstreams for mergers and acquisitions, including due diligence, negotiations
• Advise senior stakeholders on corporate governance, securities, entity management, and public
• Support international expansion by advising on subsidiary formation, regulatory requirements, and
• Support financing transactions and related securities law compliance.
• Oversee corporate entities, records, subsidiary management, governance processes, and corporate
• Partner with Finance on insurance renewals, tax planning, financial statements, employee equity

🎯 Requirements

• Juris Doctor degree with active bar membership in the United States or Canada.
• At least 10 years of relevant legal experience, including experience at a nationally recognized law
• Experience in technology or SaaS businesses is preferred.
• Strong experience leading or supporting mergers and acquisitions, including due diligence
• Deep knowledge of corporate governance, securities laws, entity management, and public company
• Experience advising on international expansion, subsidiary structures, and regulatory requirements

• U.S. annual base salary: $269,000–$404,000 USD.
• Canada annual base salary: $234,000–$351,000 CAD.
