Assistant General Counsel, M&A

📋 Description

• Location: Boston or NYC; Reports to CLO.
• Develop and implement M&A legal strategy aligned with objectives.
• Advise on securities laws, reporting, and governance with the Board.
• Lead due diligence for M&A and capital markets; coordinate external counsel.
• Partner with Strategy & Corporate Development on complex M&A work.
• Prepare M&A analyses for exec team and board; draft key documents.

🎯 Requirements

• J.D. from an accredited school with outstanding academics.
• Admitted to a U.S. State Bar.
• 5–7 years’ experience at a top law firm; in-house a plus.
• Expertise in M&A, securities law, and corporate governance.
• Experience managing complex M&A in technology or financial services.
• Strong writing, analytical, negotiation, and communication skills.
