Assistant General Counsel, M&A

📋 Description

• Location: Boston or NYC (hybrid schedule).
• Reports to: Chief Legal Officer.
• Develop and implement M&A legal strategy aligned with business goals.
• Advise on securities laws and reporting requirements.
• Lead corporate governance with the CLO, engaging with the Board and committees.
• Lead due diligence for M&A and capital markets; draft and negotiate key documents.

🎯 Requirements

• J.D. from an accredited institution with outstanding academic credentials.
• Admitted to a State Bar within the United States.
• 5-7 years’ experience at a top-tier law firm; in-house a plus.
• Demonstrated expertise in M&A, securities law and corporate governance.
• Extensive experience managing complex M&A transactions; tech/financial services focus.
• Excellent writing, analytical, negotiation, and presentation skills.
