Assistant General Counsel, Transactions

📋 Description

• Execute Crux's investment transactions: tax equity, preferred equity, and transferable tax credit
• Support debt financings: construction, bridge, back-leverage, and warehouse financings, including
• Lead legal diligence and issue-spotting: review project documents, tax credit qualification items
• Own the post-closing legal workstream: funding conditions, amendments, consents, waivers, and
• Manage outside counsel efficiently: decide in-house vs. outside work, supervise scope, and keep
• Support corporate-level matters: corporate financings, strategic transactions, joint ventures

🎯 Requirements

• 3-6 years of transactional experience, with significant portion in projects, energy, or
• Hands-on experience with tax equity, transferable tax credit transactions, and debt financings for
• Working fluency in federal energy tax credit framework (Sections 45, 48, 45Y, 48E, 45X, and 6418)
• Practical experience using AI in legal practice, with demonstrated ability to adopt or build tools
• Ownership and judgment to make pragmatic risk-weighted calls and escalate when appropriate.
• Clear communication with lawyers and non-lawyers, in writing and in real time.
