Associate Counsel, Corporate

📋 Description

• Lead M&A execution: manage all legal aspects from LOI through closing.
• Draft and negotiate purchase and merger agreements and related docs.
• Coordinate due diligence with Finance, Compliance, Risk, Product, and Engineering.
• Advise on entity formation and expansion for international markets.
• Support regulatory approvals in M&A, including license transfers.
• Collaborate with the legal team to align transactions with regulatory obligations.

🎯 Requirements

• 4 to 8 years in corporate law with meaningful M&A experience.
• Hands-on drafting and negotiating acquisition agreements and related docs.
• Strong understanding of corporate governance and Delaware law.
• Ability to manage multiple workstreams and deadlines.
• Clear, confident communication for business stakeholders.
• JD and admission to at least one U.S. state bar.
