📋 Description

• Advise on general corporate matters including entity governance, subsidiary management, corporate
• Support public company governance and reporting, including Exchange Act filings (10-K, 10-Q, 8-K)
• Provide securities law advice on capital markets transactions, including registered offerings
• Lead M&A activity end to end, including deal structuring, due diligence, negotiation of
• Advise broker-dealer and marketplace businesses on SEC and FINRA regulatory matters, including
• Partner with senior leadership on strategic securities law initiatives, including application of

🎯 Requirements

• 10+ years of experience at a top law firm and/or in-house at a public financial services or fintech
• Deep subject matter expertise in Securities Act of 1933 and Securities Exchange Act of 1934, with
• Hands-on experience with broker-dealer regulation, including SEC and FINRA rules, registration, and
• Public company experience including periodic reporting, disclosure judgment, and board/committee
• Substantial M&A experience, including leading acquisitions, dispositions, and strategic
• Comfort operating in ambiguity and applying established securities frameworks to novel products
