Commercial Counsel

📋 Description

• Lead review, drafting, and negotiation of SaaS, licensing, and data provider agreements.
• Own deals end-to-end with risk-based guidance.
• Advise Sales and Revenue teams; resolve issues and build consensus.
• Create and manage templates, playbooks, and processes to scale.
• Research laws impacting business, including FCRA, from a commercial view.
• Partner cross-functionally and manage outside counsel on commercial matters.

🎯 Requirements

• JD and active membership in good standing of the California Bar.
• 3+ years of structuring, drafting, and negotiating commercial agreements.
• Working knowledge of liability, indemnification, risk allocation, data protection, privacy; know when to consult experts (incl. FCRA).
• Pragmatic strategist; communicates to non-lawyers and senior stakeholders.
• Independent, multi-project management in a fast-paced environment.
• A-player mindset with bias for action and ownership.
