Junior Associate Counsel, Commercial Transactions

📋 Description

• Review and negotiate NDAs, order forms, SOWs, and standard SaaS, services, data, and marketing
• Prepare first drafts of merchant agreements, amendments, and onboarding terms, and turn
• Identify the terms that carry real exposure and summarize them in plain English for deal teams and
• Answer day-to-day contract questions from Sales, Partnerships, Procurement, Finance, Product, and
• Run contracts through Claude-enabled review workflows, check output critically, and help improve
• Manage matters through intake queue and contract lifecycle platform, and keep renewals, amendments

🎯 Requirements

• Law degree and admission to practice in LATAM (tarjeta profesional) or a US jurisdiction.
• 1-2 years of commercial, corporate, or transactional experience at a law firm or in-house
• Full professional fluency in written and spoken English, sufficient to deal directly with US
• Some hands-on exposure to drafting or reviewing commercial contracts in English.
• Demonstrated experience working with Claude or equivalent large language model tools; comfortable
• Strong attention to detail and organization to handle high volume of contracts.
