Paralegal

📋 Description

• Support the legal team across a broad range of corporate, transactional, governance, compliance
• Manage and coordinate M&A closing processes for acquisitions involving stock purchases, asset
• Prepare and manage signature pages, closing checklists, closing sets, diligence materials, and
• Coordinate and review diligence deliverables, including lien, UCC, and title searches.
• Draft, review, and coordinate ancillary transaction documents such as bills of sale, assignment and
• Support public-company compliance activities, including Section 16 filings, Exchange Act and Nasdaq

🎯 Requirements

• 8+ years of paralegal experience, including meaningful M&A transaction experience in both a law
• Paralegal degree, certificate, or comparable legal training is preferred but not required.
• Demonstrated ability to manage and drive M&A closing processes, including signature
• Hands-on experience forming legal entities, including preparing and filing incorporation or
• Experience drafting Board and stockholder/member consents, resolutions, and related corporate
• Strong understanding of corporate governance, entity management, and legal recordkeeping practices.
