Senior Corporate Counsel

📋 Description

• Provide hands-on support across corporate transactional work — M&A and other strategic
• Support IPO readiness, including cross-functional readiness planning and assisting with S-1
• Execute equity and debt financing transactions and maintain ongoing compliance
• Coordinate with the legal, finance, and corporate strategy teams and external corporate counsel to
• Advise on and support corporate governance matters, including board and shareholder logistics and
• General corporate work, including corporate registrations and filings, entity administration

🎯 Requirements

• JD degree and active membership in good standing of a state Bar.
• 5–8 years of corporate and securities law experience; a mix of top law firm and in-house experience
• Hands-on M&A transactional experience, with exposure to IPO readiness or public-company matters
• Solid working knowledge of corporate, securities, and transactional matters, with the judgment to
• A pragmatic problem-solver who provides crisp, timely, risk-based advice and communicates it
• Strong collaborator with excellent written and verbal communication skills who builds trust across
