Senior Counsel, Capital Markets

📋 Description

• Lead corporate transactional matters incl. capital markets, M&A, and strategic investments.
• Draft, negotiate, and review transaction documents; advise on deal structure.
• Partner with Corporate Development and cross-functional teams to execute transactions.
• Support post-closing obligations across departments.
• Work efficiently with outside counsel.
• Support other internal legal initiatives and projects as needed.

🎯 Requirements

• J.D. from ABA-accredited law school; active bar in NY/NJ/CA/DC or WA preferred.
• 5+ years in corporate capital markets, M&A, and securities.
• In-house at high-growth tech or public company; top law firm background.
• Autonomous on corporate transactions; manage multiple matters.
• Strong interpersonal skills; collaborate with stakeholders; build cross-functional relationships.
• Advanced problem-solving; drafting, project management, and legal interpretation.
• Commitment to professionalism, excellence, and attention to detail under time pressure.
• Balance legal risk with business goals; manage outside counsel.
