Senior Counsel, Commercial

📋 Description

• Draft, negotiate, and finalize term sheets and definitive agreements for EMEA/APAC.
• Manage the live deal pipeline; identify deviations, novel structures, and risks.
• Draft and close MSAs, orders, partnerships, and vendor agreements.
• Partner with cross-functional teams and outside counsel to move deals fast while managing risk.
• Advise leaders on transaction structures and market-entry considerations.
• Contribute to Omni processes, templates, and playbooks to speed repeat deals.

🎯 Requirements

• J.D. from an accredited law school; active US state bar.
• 8+ years' commercial/tech contracting experience.
• Substantial cloud/AI/SaaS/IaaS/PaaS contracting experience.
• Experience with cross-border, high-value transactions.
• Strong drafting/negotiation skills and commercial judgment.
• Independent judgment; detail-oriented; able to work across multiple jurisdictions/time zones.
