Assistant General Counsel, M&A

📋 Description

• Location: Boston or NYC; hybrid schedule with onsite Tue-Fri and remote Mon.
• Lead M&A activities, advise on securities laws and corporate governance.
• Oversee outside counsel and coordinate with the Board and executive team.
• Coordinate due diligence for potential M&A and capital markets transactions.
• Provide post-merger integration support for contract assignments and regulatory compliance.
• Collaborate with Strategy & Corporate Development to advise the business.

🎯 Requirements

• J.D. from an accredited school with strong academics.
• Admitted to a U.S. State Bar.
• 5–7 years’ experience at a top-tier law firm; in-house a plus.
• Expertise in M&A, securities law, and corporate governance.
• Extensive experience managing complex M&A, preferably in tech or financial services.
• Excellent writing, analytical, negotiation, and presentation skills.
