📋 Description

• Lead legal support for capital markets activities, including equity offerings, debt issuances, and
• Advise management and the Board on SEC, NYSE, and other securities law requirements, including
• Manage disclosure controls and procedures, proxy statements, Form 4 filings, and investor
• Drive legal execution of acquisitions, divestitures, joint ventures, and strategic investments
• Oversee significant commercial agreements, vendor contracts, and strategic partnerships, while
• Advise executive leadership and the Board on corporate governance matters, fiduciary duties, and

🎯 Requirements

• 10+ years of relevant legal experience at a nationally recognized law firm and/or public company
• J.D. from an accredited law school and admission to practice in at least one U.S. jurisdiction in
• Deep expertise in securities law, public company reporting, SOX compliance, and corporate governance
• Proven M&A and strategic transaction experience, including cross-functional project management
• Strong contract negotiation and drafting skills, with experience advising senior executives
• Genuine enthusiasm for AI-powered legal tools, and a track record of building or improving legal
