Senior Counsel, Corporate & M&A

📋 Description

• Assist with drafting and reviewing SEC filings, including Forms 10-K, 10-Q, 8-K, proxy statements
• Support a broad range of corporate transactional matters, including M&A, investments, and
• Support board and shareholder governance activities, including preparing and reviewing Board and
• Assist with global subsidiary and entity management, including formation and ongoing maintenance of
• Support investor relations and the quarterly earnings process and help ensure Regulation FD
• Support all treasury and tax-related matters, including capital markets transactions, credit

🎯 Requirements

• J.D. from an ABA accredited law school (or foreign equivalent)
• Membership in at least 1 U.S. State Bar, with good standing
• 5+ years of broad corporate, securities and transactional experience at a major law firm and/or in
• Strong collaborator and team player with excellent interpersonal and communication skills and
• Self-starter with a sense of ownership and the ability to execute in a dynamic and fast-paced
• Strong work ethic, thoroughness, critical thinking, and attention to detail
