Senior Legal Counsel, Corporate & Securities

📋 Description

• Build and scale the corporate legal function
• Manage our equity program, with the assistance of our Equity Plan Manager (who will report into you)
• Drive transaction readiness and other compliance efforts, including the development and maintenance
• Provide legal support for corporate transactions, including securities offerings, financings
• Assist with the preparation and planning for board and committee meetings and the annual meeting of
• Oversee global corporate administration efforts, including compliance with international, federal

🎯 Requirements

• J.D. degree from an ABA-accredited law school
• Admitted and in good standing with a state bar (preferably New York or California)
• 5+ years of experience as a corporate and securities counsel
• In-house experience is preferred but not required
• Experience in general corporate transactions with strong background in securities laws
• Skilled in negotiating and managing corporate transactions (debt and equity financing, M&As
